These Terms of Trade govern all export transactions between Lizzy Food Exports ("Seller", "we", "us"), trading as Monday Ngozi Vineyard Ltd (RC 1176855) (RC 1176855), and any buyer ("Buyer", "you") who places an order or requests a quotation for our products.
By submitting an order or accepting a pro forma invoice from us, you agree to be bound by these Terms.
1. Nature of Our Business
Lizzy Food Exports is a B2B food export business operating from Lagos, Nigeria. We source, grade, process, pack, and export premium Nigerian food products including smoked catfish, snails, roasted meats, red palm oil, periwinkles, crayfish, and agricultural produce to international buyers worldwide.
We do not operate a consumer retail storefront. All sales are business-to-business (B2B) only, subject to minimum order quantities (MOQ) as stated on each product listing. Consumer purchase enquiries may be redirected or declined at our discretion.
2. Quotations & Pro Forma Invoices
- All prices quoted are indicative and subject to change based on current commodity market rates, exchange rates, and seasonal availability.
- A pro forma invoice (PI) is not a binding contract. It is a good-faith price indication valid for the period stated on the document (typically 30 days).
- A binding contract is formed only upon our written confirmation of your purchase order and receipt of the agreed advance payment or deposit.
- All prices are quoted in Nigerian Naira (NGN) unless otherwise specified. USD, GBP, EUR, and AED equivalents shown on our website are estimates only based on live exchange rates.
3. Payment Terms
- We do not process payments on this website. All payments are made via direct bank transfer (wire transfer) to our designated business bank account.
- Standard payment terms: 50% advance payment on confirmed order, balance due prior to shipping or on presentation of shipping documents, unless otherwise agreed in writing.
- All bank charges, transfer fees, and conversion costs are the Buyer's responsibility unless explicitly agreed otherwise.
- We are not responsible for delays caused by banking institution holds or international transfer delays.
4. Incoterms & Delivery
All deliveries are governed by the applicable Incoterms® 2020 rule as specified in the pro forma invoice. Standard terms offered include:
- FOB (Free On Board): Risk transfers to Buyer once goods are loaded on the vessel at Apapa or Tin Can Island Port, Lagos.
- CIF (Cost, Insurance, Freight): We arrange and pay for sea freight and minimum insurance to the Buyer's destination port. Risk transfers to Buyer on board the vessel at load port.
- CFR (Cost and Freight): We arrange sea freight to destination port. Insurance is the Buyer's responsibility.
Lead times stated on product pages are estimates from order confirmation and are not guaranteed.
5. Product Quality & Specifications
- All products are sourced and processed to meet Nigerian NAFDAC standards and are exported under NEPC (Nigerian Export Promotion Council) registered exporter status.
- Product specifications (moisture content, grade, size) are described on product pages and in pro forma invoices. Tolerances of ±5% may apply to natural agricultural commodities.
- Third-party quality inspections (SGS, Cotecna, Bureau Veritas) can be arranged at the Buyer's request and expense prior to shipment.
- Phytosanitary certificates and relevant export documentation will be provided as standard for shipments requiring them.
6. Import Compliance
The Buyer is solely responsible for ensuring that the goods comply with all import regulations, permits, duties, and food safety standards applicable in the destination country. Lizzy Food Exports will provide all standard Nigerian export documentation; we cannot be held liable for goods rejected at the destination country's port of entry due to import restrictions unknown to us at the time of shipment.
7. Cancellations & Refunds
- Orders cancelled after advance payment has been received and production/processing has commenced are subject to forfeiture of the advance payment.
- Cancellations before production commences will be assessed on a case-by-case basis; a processing/administrative fee may apply.
- Refunds (where approved) will be made by bank transfer only, within 14 business days of approval.
- We do not issue refunds for goods that have been shipped.
8. Claims & Disputes
- Any claim regarding product quality, short shipment, or damage must be submitted in writing within 7 days of the Buyer's receipt of goods, with supporting photographic evidence and inspection reports.
- Claims for damage in transit are subject to the insurance policy terms (for CIF shipments) and must be lodged with the insurer or carrier directly.
- These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall be resolved through good-faith negotiation, and failing that, through mediation or arbitration in Lagos, Nigeria under the applicable Nigerian arbitration rules.
9. Force Majeure
Neither party shall be liable for failure to perform obligations due to causes beyond their reasonable control, including but not limited to acts of God, government actions, port strikes, pandemics, or civil unrest. The affected party must notify the other party in writing within 5 business days of the force majeure event.
10. Limitation of Liability
To the maximum extent permitted by law, Lizzy Food Exports's total liability to the Buyer in connection with any order shall not exceed the value of the goods in that specific order. We shall not be liable for indirect, consequential, or incidental losses, including lost profits.
